Terms of Service

1. Agreement to Terms

By accessing or using the GDR Software Development website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our website or use our services.

2. Services

GDR Software Development provides custom software development, security engineering, regulatory compliance consulting, cloud infrastructure, AI and data solutions, and social media management and advertising services. The specific scope, deliverables, and terms of each engagement are defined in individual project agreements.

3. Intellectual Property

Unless otherwise agreed in a project agreement:

• All intellectual property rights in deliverables transfer to the client upon full payment
• GDR Software Development retains the right to use general knowledge, skills, and experience gained during the engagement
• Pre-existing intellectual property remains the property of its original owner

4. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This obligation survives the termination of any agreement between the parties.

5. Limitation of Liability

To the maximum extent permitted by law, GDR Software Development shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our website or services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

6. Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise stated, invoices are due within 30 days of issue. Late payments may be subject to interest at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

7. Termination

Either party may terminate an engagement as specified in the relevant project agreement. Upon termination, the client shall pay for all services rendered up to the date of termination.

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page. Your continued use of our website or services following any changes constitutes acceptance of the revised terms.
